BuildRoutine

Terms of Service

Effective date: October 26, 2026

1. Agreement to These Terms

These Terms of Service ("Terms") are an agreement between you and Vantoral Logic Inc. ("BuildRoutine," "we," "us," or "our") and govern your use of the BuildRoutine website at buildroutineai.com, the BuildRoutine web application and mobile app, and related services (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you agree to these Terms for that company and confirm you have authority to do so; "you" then includes the company ("Customer"). If you do not agree, do not use the Service.

2. The Service

BuildRoutine is construction management software for general contractors. It includes tools for bid requests, bid leveling, Plan Room drawing review and quantity takeoff, subcontractor insurance and certificate review, RFIs, submittals, schedules, budgets, buyout and NYC Department of Buildings permit tracking. We may add, change or remove features over time. The Service relies on the internet and third-party providers and may occasionally be unavailable.

3. Accounts

You must be at least 18 years old and give accurate information when you sign up. You are responsible for keeping your sign-in details secure and for activity under your account. Company administrators can invite and remove members and decide what each member can see and do. Tell us right away at nate@buildroutineai.com if you believe your account has been used without permission.

4. Subscriptions, Trials and Billing

  • Paid plans are billed in advance on a recurring basis (for example, monthly) at the price shown when you subscribe or as otherwise agreed in writing with us. Payments are processed by Stripe, and you authorize us and Stripe to charge your payment method for each billing period and applicable taxes.
  • If we offer a free trial, a payment method may be required to start it. Unless you cancel before the trial ends, your subscription starts and the first charge is made when the trial ends.
  • Subscriptions renew automatically until cancelled. You can cancel at any time by contacting us at nate@buildroutineai.com or using any cancellation option in the Service; cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Fees are non-refundable, including for partial billing periods, except where required by law or where we state otherwise in writing.
  • We may change prices for future billing periods with at least 30 days' notice. If a payment fails, we may suspend the Service after notice until it is paid.

5. Your Data

You and your company own the information, documents and files you put into the Service ("Customer Data"), including drawings, bids, insurance documents and project records. You give us permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, as described in our Privacy Policy. We do not sell Customer Data and do not use it to train generalized AI models.

You are responsible for Customer Data and confirm you have the rights and any permissions needed to upload it and to send messages through the Service to the recipients you choose. We may use de-identified, aggregated information about how the Service is used (that does not identify you, your company or your projects) to operate and improve the Service.

6. Connected Accounts

You may connect a Gmail or Microsoft Outlook account so the Service can send email from your address and show replies from your bidders, vendors and brokers. You authorize the Service to access that account as described in our Privacy Policy and the permissions you approve. Your use of those accounts is also governed by Google's and Microsoft's terms. You can disconnect at any time in Settings.

7. AI Features and Professional Judgment

Bid leveling, Plan Room takeoff quantities, insurance and certificate review, summaries, and other results produced with artificial intelligence or automated reading of documents ("AI Output") can be incomplete or wrong. Drawings, bids and policies can be misread, and a result can miss scope, quantities, exclusions or coverage gaps. A "pass" does not mean a policy meets your requirements, and a flag does not mean a problem exists.

You must review and verify AI Output against the source documents before you rely on it, award work, pay, or accept or reject a subcontractor or its insurance. AI Output and everything else in the Service is provided for information and to help your team work; it is not professional, engineering, architectural, estimating, legal, insurance, or financial advice and is not a substitute for review by qualified professionals. You are responsible for your decisions, your bids, your contracts and your compliance with insurance requirements, building codes and permits.

8. Acceptable Use

You agree not to:

  • Break any law or anyone's rights, or upload content you do not have the right to share
  • Send spam or unsolicited bulk email through the Service
  • Upload viruses or malicious code, or interfere with or overload the Service
  • Access accounts or data you are not authorized to access, or probe or test the Service's security without our written permission
  • Copy, resell or reverse engineer the Service, or use it to build a competing product, except as the law allows
  • Scrape the Service or access it by automated means other than features we provide

9. Our Intellectual Property

The Service, including its software, design, text and logos, and the BuildRoutine name, belongs to us and our licensors and is protected by law. We give you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription, under these Terms. If you send us feedback or ideas, we may use them without obligation to you.

10. Third-Party Services and Public Data

The Service works with third-party services (such as payment processing, email providers and public NYC permit data). We are not responsible for third-party services, and public records such as NYC Department of Buildings data may be delayed, incomplete or inaccurate.

11. Suspension and Termination

You may stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these Terms, fail to pay, create a security or legal risk, or if required by law; where reasonable, we will give notice first. When a subscription ends, you can ask us at nate@buildroutineai.com for an export of Customer Data within 30 days, after which we may delete it as described in our Privacy Policy. Sections that by their nature should survive (including Your Data, AI Features, disclaimers, limitation of liability, indemnity and governing law) survive termination.

12. Disclaimer of Warranties

The Service and all AI Output are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, title and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free or secure.

13. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bids, contracts, data or business opportunities, arising from or related to the Service or these Terms, even if we were told they were possible. Our total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

14. Indemnity

You will defend, indemnify and hold harmless BuildRoutine and its owners, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from Customer Data, your use of the Service in breach of these Terms or the law, or messages you send through the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you and we consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.

16. Changes to These Terms

We may update these Terms from time to time. We will post the new version on this page with a new effective date and, for significant changes, notify account owners by email or in the Service before they take effect. Continuing to use the Service after changes take effect means you accept them.

17. General

These Terms, together with our Privacy Policy and any order or written agreement with us, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
